Center provides free, open-source JavaScript tools for:

  • Accounting calculations

  • E-invoice processing and validation

Key characteristics:

  • All tools run entirely in your browser (client-side JavaScript)
  • No data is uploaded to our servers or cloud services
  • No user registration or account required
  • No data storage or retention by Center
  • Free of charge

6. User Responsibilities and Acceptable Use

6.1 Your Obligations

By using the Service, you agree to:

  • Not attempt to reverse-engineer, decompile, or hack the Service (beyond normal open-source usage)

You may NOT use the Service to:

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

7.1 No Liability for Tool Results

Center SHALL NOT BE LIABLE FOR:

  • Errors, omissions, or inaccuracies in calculations, validations, or results
  • Incorrect tax calculations or compliance failures
  • Financial losses resulting from use of the tools
  • Missed deadlines or late filings
  • Penalties, fines, or interest imposed by tax authorities
  • Audit findings or compliance violations
  • Business losses, lost profits, or lost opportunities
  • Decisions made based on tool outputs

7.2 No Liability for Technical Issues

Center SHALL NOT BE LIABLE FOR:

  • Service interruptions, downtime, or unavailability
  • Data loss (though no data is stored by us)
  • Browser crashes or compatibility issues
  • Bugs, errors, or defects in the tools
  • Security vulnerabilities or breaches
  • Third-party service failures (Firebase, Google Analytics)

7.3 Types of Damages Excluded

IN NO EVENT SHALL Center BE LIABLE FOR:

  • Direct damages
  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Special damages
  • Punitive damages
  • Loss of profits or revenue
  • Loss of data or information
  • Loss of business opportunities
  • Reputational harm

This limitation applies regardless of:

  • The legal theory (contract, tort, negligence, strict liability, or otherwise)
  • Whether Center was advised of the possibility of such damages
  • Whether such damages were foreseeable

7.4 Maximum Liability Cap

IF ANY LIABILITY IS FOUND TO EXIST (notwithstanding the above exclusions), the total aggregate liability of Center shall not exceed €0 (zero euros), as the Service is provided free of charge.

8. Indemnification

You agree to indemnify, defend, and hold harmless Center Glas, its directors, officers, employees, volunteers, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Any decisions or actions you take based on tool results
  • Any claim by third parties related to your use of the Service
  • Your processing of data using the tools

9. Third-Party Services

9.1 Google Services

This Service uses:

  • Firebase Hosting (Google LLC) for website infrastructure
  • Google Analytics (optional, with user consent) for usage statistics

Important:

  • Google is an independent third party, not controlled by Center
  • Google’s services are governed by Google’s own terms and privacy policies
  • Center is not responsible for Google’s data processing practices, security, or service availability
  • For issues with Google services, please contact Google directly

The Service may contain links to third-party websites or resources. Center:

  • Does not endorse or control these third-party sites
  • Is not responsible for their content, accuracy, or availability
  • Assumes no liability for your use of third-party services

10. Intellectual Property

10.1 Open Source Code

The core tools are licensed under the MIT License (see Section 3). You may use, modify, and distribute the code according to that license.

10.2 Trademarks and Branding

  • " Center" and our logos are property of Center
  • You may not use our name or branding to imply endorsement without written permission
  • You may reference the project in compliance with open-source attribution requirements

10.3 Your Content

All data you process using the tools remains yours. We claim no ownership or rights to your data, as we never have access to it (client-side processing only).

11. Updates and Changes

11.1 Service Modifications

We reserve the right to:

  • Modify, update, or discontinue the Service or any tools at any time
  • Change formulas, calculations, or validation rules
  • Add or remove features
  • Change technical requirements

No obligation to notify: While we may announce major changes, we are not obligated to provide advance notice.

11.2 Terms Updates

We may modify these Terms at any time. Changes become effective when posted. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

Significant changes: For material changes affecting your rights, we will make reasonable efforts to provide notice (e.g., posting a banner on the website).

No refunds: As the Service is free, no refunds or compensation will be provided upon termination.

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • Sections of these Terms that by nature should survive (disclaimers, limitations of liability, indemnification) remain in effect

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of Slovenia , without regard to conflict of law principles.

16.2 Jurisdiction

Any disputes shall be resolved exclusively in the courts of Ljubljana, Slovenia .

16.3 EU Online Dispute Resolution

EU consumers may use the EU Online Dispute Resolution platform: ec.europa.eu/consumers/odr

However, as the Service is provided free of charge and “AS IS,” there is typically no basis for consumer disputes.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable:

  • That provision shall be modified to the minimum extent necessary to make it valid and enforceable
  • If modification is not possible, the provision shall be severed
  • The remaining provisions shall remain in full force and effect

18. Entire Agreement

These Terms, together with Privacy Policy, constitute the entire agreement between you and Center regarding the Service and supersede all prior agreements, understandings, and communications.

19. No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

20. Force Majeure

Center shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters
  • War, terrorism, civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Third-party service outages (e.g., Firebase, Google)
  • Cyberattacks or security incidents

21. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

22. Language

These Terms are provided in English. If translated into other languages, the English version shall prevail in case of any conflict or ambiguity.

23. Consumer Rights Notice (EU)

For EU Consumers:

Under EU consumer protection law, certain rights cannot be waived by these Terms, including:

  • Your right to statutory warranties under national consumer protection laws (where applicable to free services)
  • Your right to withdraw from distance contracts (though not typically applicable to free online services)
  • Limitations on unfair contract terms under Directive 93/13/EEC

However, please note that:
